Terms and Conditions for Trade Accounts
Effective Date: 30th January 2025
These Terms and Conditions (“Terms”) govern the establishment and use of trade accounts (“Account” or “Accounts”) provided by Centrum Corporations Pty Ltd (“Centrum”, “we”, “us”, or “our”). By submitting a trade account application and/or using your trade account, you agree to be bound by these Terms. If you do not agree, you must not submit an application or use an approved trade account.
1. Eligibility Criteria
1.1 Who May Apply
Trade accounts and the exclusive wholesale pricing provided thereunder are available only to entities and individuals that meet the following criteria:
- Retail Stores: Entities operating a physical or online storefront with a valid business registration.
- E-Commerce Businesses: Entities that maintain a publicly accessible website.
- Commercial Clients: Interior designers, architects, or contractors engaged in large-scale projects (e.g., hospitality, corporate offices).
- Independent Designers: Trade professionals who maintain an active portfolio of projects.
Applicants who possess a valid ABN but do not fully meet the above eligibility criteria may still purchase our products. However, such purchases will be subject to a minimum order requirement at Centrum’s discretion.
1.2 Required Documentation
To verify eligibility, applicants must submit:
- Retail/E-Commerce: Valid business registration (e.g., ABN) and evidence of a physical storefront or active website.
- Commercial Clients: A portfolio, relevant project documentation, and a valid ABN.
- Independent Designers: A portfolio and a valid ABN.
All trade account applications are subject to Centrum’s sole discretion and approval. Approval is conditional upon the submission of all required documentation and adherence to these eligibility criteria.
1.3 Right to Request Additional Information
Centrum reserves the right to request additional documentation or information at any time to verify an applicant’s eligibility.
2. Pricing, Shipping & Free Into Store (FIS) Policy
2.1 Wholesale Pricing
Approved trade account holders are entitled to exclusive wholesale pricing. Such pricing is reserved solely for eligible applicants as determined in Section 1. Applicants not meeting the eligibility criteria may be subject to any applicable minimum order requirements.
2.2 Price Changes
Centrum reserves the right to modify pricing at any time without prior notice. Notwithstanding the foregoing, Centrum will make reasonable efforts to inform trade account holders of any significant price changes.
2.3 Free Into Store (FIS) Deliveries
For approved commercial account holders:
All prices are quoted on a Free Into Store (FIS) basis for deliveries within the Sydney metropolitan area, unless expressly stated otherwise.
FIS deliveries apply only when deliveries are made directly to retail stores or designated transport depots with staff available to assist in unloading.
FIS deliveries may be subject to a minimum order value, as determined at Centrum’s sole discretion.
Deliveries to private residences, non-retail commercial premises, or any locations not covered by the FIS terms will incur additional charges based on factors such as:
- Timing and scheduling
- Delivery location and accessibility
- The number of personnel required to unload the goods
2.4 Sample Colours & Shipping Charges
- Sample colour swatches are available upon request to assist in product selection.
- Freight charges for sample requests and bulk orders are calculated based on the size, weight, and destination of the shipment.
- Unless otherwise agreed in writing, the client is responsible for all shipping fees.
3. Order Fulfillment & Shipping Terms
3.1 Order Processing
Orders will be processed only after full payment is received, except where prior credit arrangements have been approved in writing by Centrum.
3.2 Shipping Liability
Centrum is not liable for delays or failures in delivery resulting from causes beyond its control, including but not limited to shipping disruptions, natural disasters, or customs clearance issues.
3.3 Damages in Transit
Centrum is not responsible for damages incurred during transit unless the goods are shipped via Centrum or its approved freight partners. If the client arranges for an alternative freight service, the client assumes all risk of loss or damage during transit.
3.4 Reporting Damages or Discrepancies
Any damages or discrepancies in delivered goods must be reported to Centrum in writing within seven (7) business days of receipt. Claims reported after this period may not be considered.
4. Payment Terms
4.1 Payment Methods
Payment for orders must be made via:
- Bank transfer
- Credit card
- Any other method approved in advance by Centrum
4.2 Prepayment Requirement
Unless otherwise agreed in writing via approved credit terms, all orders must be prepaid in full prior to dispatch.
4.3 Credit Terms
Approval of a trade account does not automatically grant credit terms. If credit is extended, the specific terms and conditions will be provided in writing at the time of approval.
4.4 Late Payment
Any late payment may incur penalties or interest as specified in separate documentation provided at the time of account approval. Failure to adhere to payment terms may result in suspension or termination of the trade account.
5. Returns & Exchanges
5.1 Eligibility for Returns
Returns are accepted only for defective products or incorrect shipments. Requests for returns must be submitted within fourteen (14) days of the delivery date.
5.2 Condition of Returned Items
Returned items must be in their original condition and packaging. Failure to comply may result in rejection of the return or a reduction in the refund amount.
6. Warranty Terms & Conditions
6.1 Domestic Use Warranty
Centrum provides a twelve (12) month structural warranty on furniture intended for standard domestic use, subject to the following conditions:
- The warranty covers structural defects that materially impair the furniture’s intended purpose.
- The warranty does not cover normal wear and tear, or damage resulting from misuse, improper maintenance, or relocation by non-approved transporters.
- The warranty is void if care instructions provided by Centrum are not followed.
6.2 Non-Domestic & Commercial Use Warranty
No warranty is provided for furniture used in non-domestic or commercial environments (such as hospitality, rental, or other commercial applications) unless expressly agreed in writing. To qualify for a commercial-use warranty:
- The intended non-domestic use must be declared in writing at the time of order placement.
- Centrum must confirm in writing (or via email) that the product is suitable for commercial application.
- If approved, a twelve (12) month structural warranty may apply, subject to the limitations set forth herein.
6.3 Warranty Exclusions
Natural variations in texture, grain, or finish; or slight variations in colour, size, or tone between batches, are not considered defects.
Imperfections or damages must be reported within seven (7) days of delivery, and warranty claims must be submitted within the warranty period.
Centrum reserves the right to repair, replace, or provide compensation based on a reasonable assessment of any claim.
7. Account Usage & Termination
7.1 Authorized Use
Trade accounts are granted solely for business purposes. The account credentials and any benefits provided (including exclusive trade pricing) are non-transferable and must not be shared with unauthorized third parties.
7.2 Account Suspension or Termination
Centrum reserves the right, at its sole discretion, to suspend or terminate any trade account for reasons including, but not limited to:
- Misuse of the trade account for non-business purposes.
- Repeated non-compliance with payment terms.
- Unauthorized disclosure of confidential pricing or product information.
- Any other breach of these Terms.
8. Confidentiality
8.1 Confidential Information
All pricing, product details, and any other materials provided under these Terms are considered confidential and proprietary to Centrum.
- 8.2 Prohibited Disclosure
Trade account holders shall not disclose any confidential information to unauthorized third parties. Unauthorized disclosure may result in immediate termination of the account and potential legal action.
Any use of Centrum’s images, catalogs, or branding materials for external purposes requires prior written consent.
9. Uncollected Goods & Storage Fee Policy
9.1 Collection Period
The Client is required to collect or arrange delivery of all purchased goods within 30 calendar days from the date of notification that the order is ready for dispatch ("Collection Period").
9.2 Storage Fees
- If the Client fails to collect or arrange delivery within the Collection Period, Centrum reserves the right to charge a storage fee equivalent to 20% of the order value per month, calculated from the 31st day following notification of readiness for dispatch.
- Storage fees will accrue on a pro-rata daily basis and must be settled in full prior to the release or delivery of the goods.
9.3 Maximum Storage Period & Forfeiture of Goods
If goods remain uncollected for a period exceeding 60 days from the date of notification, Centrum may, at its sole discretion:
- Reallocate the goods to other orders, requiring the Client to wait for the next available shipment; or
- Deem the goods abandoned, in which case Centrum may resell, dispose of, or otherwise handle the goods as it sees fit. Any payments made by the Client toward the abandoned goods shall be non-refundable, and the Client shall have no further claim to the goods.
9.4 Exceptions & Extensions
The Client may submit a written request for an extension prior to the expiration of the Collection Period. Centrum may, at its sole discretion, grant an extension subject to availability and the continued application of storage fees.
10. Amendments
10.1 Amendments
Centrum reserves the right to amend these Terms at any time. Any modifications will be communicated to account holders via the contact information provided at the time of account registration and will also be posted on our website. Continued use of the trade account following the effective date of any amendments constitutes acceptance of the updated Terms.
11. Entire Agreement
These Terms, together with any additional policies or agreements referenced herein, constitute the entire agreement between the applicant/trade account holder and Centrum Corporations Pty Ltd regarding the subject matter herein, and supersede all prior communications or agreements, whether oral or written.
Acknowledgment
By submitting a trade account application or using an approved trade account, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
